Banking and Finance Practice

Banking & Finance - Hong Kong

At the cutting edge of the banking and finance industry

From navigating and shaping regulatory change to developing innovative finance solutions for the most sophisticated transactions, King & Wood Mallesons' award-winning banking and finance team is at the forefront of this fast-moving field.

Wide-ranging local and global expertise

At the forefront of the local and international market, our Hong Kong banking and finance lawyers are involved in structuring and executing all forms of debt instruments (including RMB bonds and asset-backed securities), derivatives (including corporate derivatives) and listed and unlisted structured products.

As our client, you also benefit from our unparalleled understanding of how financial products are developed; our extensive understanding of the practices of, and communications with, Hong Kong’s regulators; and our ability to advise on bank lending deals of different sizes and structural complexity, and those that involve cross-border issues.

As the hub for the internationalisation of the RMB, we have been front and centre of the diversification of offshore RMB product types with experience advising on the development of the full range of RMB structured products and related regulatory issues.

We continue to help industry bodies and clients to shape, navigate and prepare for regulatory developments in this dynamic sector, and be the first-to-market as opportunities arise. To clients, we are their first point of call for matters relating to financial regulatory reforms such as the Hong Kong AML regime, FATCA, Dodd-Frank, Basel III and AIFMD to name a few. We are also at the forefront of policy changes in the financial services industry in Hong Kong. With one of the strongest reputations in the market for managing complex regulatory issues, it is no surprise therefore that we act on retainer for the Hong Kong Association of Banks (HKAB).

Advising major clients

Our financial services clients include major international, regional and domestic banks, insurance companies, asset managers and private equity firms.

We also work with major corporations, government authorities and industry bodies. Specifically, we have worked with the HKAB in respect of certain regulatory developments. We are also active members of ISDA in relation to Hong Kong and PRC issues.

And in the bank lending space, we have an exceptional track record representing lenders, borrowers and sponsors. For example, we acted for HK Electric on a landmark deal as borrower on a three-year HKD28.3 billion syndicated term loan facility and as guarantor on a three-year HKD8.7 billion syndicated term loan facility with HK Electric Investments Limited (HKEIL) as borrower.

The areas of banking and financial law we advise on include:

  • Asset finance
  • Acquisition finance
  • Bank lending
  • Derivatives
  • Financial services regulation
  • Project finance
  • Real estate finance
  • Refinancing and debt restructuring
  • Securitisation
  • Structured products
"They’re up there with the magic circle firms…but they often have better client service because they’re hungrier for work and treat you like you’re important. They’re excellent technically, and the communication with us was also great. They are quite proactive in providing solutions to us, rather than just waiting for instructions. They are highly competent in their subject expertise."

"Possesses a deep bench and stellar expertise across the banking and finance practice area. Particularly accomplished at representing PRC institutions in their roles as lenders and lead arrangers."
