Thomas M. Shoesmith specializes in international M&A, corporate finance, foreign direct investment and joint ventures, and commercial transactions.
Mr. Shoesmith has more than 35 years’ experience representing Asian, US, and multinational investors and companies in their cross-border business activities. He practiced in China for more than 7 years, in the Silicon Valley for more than 15 years, and California for more than 30 years. Mr. Shoesmith has handled more than 200 transactions in about 50 countries. His many years of experience and his international background give him a unique ability to propose creative and efficient solutions to an increasingly complex cross-border legal environment.
Mr. Shoesmith has represented private industrial and technology companies as well as private and state-owned private equity funds in making acquisitions and investments in US. He has handled more than 20 going-public transactions in the US for PRC-based businesses, as well as structuring US businesses for Asia exits. His clients have included：A PRC state-owned technology investment fund in a $1B bid for a Massachusetts-based robotics company; China International Capital Corporation (CICC) in its representation of a US private equity-owned company seeking international financing and acquisitions in Asia; A Chinese state-owned PE fund in the acquisition of Mattson Technologies, Inc., a NASDAQ-listed semiconductor company; A California- based stemcell research company in its international restructuring to prepare for an Asia exit; A US-owned, Shanghai-based semiconductor company in the acquisition of a company in Korea; A Shenzhen-listed advanced manufacturing company in its acquisition of Calient Technologies; A PRC private equity consortium in its acquisition of Analogix; A US semiconductor company, and its subsequent listing in China; A PRC private equity consortium in its acquisition of a power management integrated circuit (PMIC) company in the US; Lenovo in its acquisition of storage assets from EMC and joint venture in China; and many others.
Mr. Shoesmith is also a recognized as a leading lawyer and frequent speaker on US-China trade issues, including the complexities of the Committee on Foreign Investment in the United States (CFIUS), export control, and related matters.
Mr. Shoesmith joined King & Wood Mallesons in 2019. Prior to that time, he was the head of the China Practice and the managing partner of the Shanghai office of a major United States law firm. Before moving to China, he founded an international practice at a leading Silicon Valley law firm and the California-Latin America Practice for Baker & McKenzie.
Mr. Shoesmith graduated from Harvard Law School. He received his bachelor’s degree from the Woodrow Wilson School of Public and International Affairs at Princeton University.
