King & Wood Mallesons (“KWM”) advised Sino United Publishing (Holdings) Limited (“SUP”) on its acquisition of the Hong Kong courseware publishing business from Pearson Group (“Pearson”).

SUP was formed in 1988 and originates from several publishing houses with long and prestigious histories, namely Joint Publishing (Hong Kong) Company Limited, Chung Hwa Book Company (Hong Kong) Limited and The Commercial Press (Hong Kong) Limited, all of which have served Hong Kong for more than a century. SUP has now become one of the most established publishing conglomerates in Hong Kong. 

KWM advised SUP on all aspects of the transaction, covering legal due diligence, and advisory services in respect of the Hong Kong laws. Throughout this transaction, KWM has maintained a seamless collaboration with SUP and its financial adviser, Guotai Junan Capital Limited, to navigate through all the technical issues ranging from the pre-completion restructuring plan, transitional services to be procured from Pearson and post-completion IP rights related licensing arrangement.
